OrangedoxTerms of Service

Thanks for using Orangedox! These terms of service ("Terms") cover your use and access to all services and websites ("Services") provided by Orangedox, an Orangedox Media Inc company ("Orangedox"). You may be considered a visitor to our properties ("Site Visitor"), or an individual and/or entity that creates an account or purchases/uses the Orangedox Services (collectively "Customer"). Our Privacy Policy explains how we collect and use your information while our Acceptable Use Policy outlines your responsibilities when using our Services. By using our Services, you're agreeing to be bound by these Terms, and to review our Privacy and Acceptable Use policies. If you're using our Services for an organization, you're agreeing to these Terms on behalf of that organization.
Your Cloud Stuff & Your Permissions
When you use our Services, you provide access to your Cloud Stuff ("Your Cloud Stuff") when you connect a Cloud Storage Account ("Cloud Account") to our Services. Your Cloud Stuff is yours. These Terms don't give us any rights to Your Cloud Stuff except for the limited rights that enable us to offer the Services.
We need your permission to host Your Cloud Stuff when you ask us to. These and other features may require our systems to access meta data (data related, but not included within your files) around Your Cloud Stuff or in some cases access to Your Cloud Stuff to help create previews (see Preview in Privacy Policy) or send documents for signing (see Document Signing in Privacy Policy). You give us permission to do those things, and this permission extends to trusted third parties we work with.
Sharing Your Cloud Stuff
Our Services let you share Your Cloud Stuff ("Shared Stuff") with others, so please think carefully about what you share.
Your Account
If you create an account on the Service (your "Account"), you are responsible for maintaining the security of your Account and Your Cloud Stuff, and you are fully responsible for all activities that occur under your Account, including your Shared Stuff, and any other actions taken on the Service. You must not describe your Shared Stuff in a misleading or unlawful manner, including in a manner intended to trade on the name or reputation of others, and Orangedox may change or remove any of your Shared Stuff that it considers inappropriate or unlawful, or otherwise likely to cause Orangedox liability. You must immediately notify Orangedox of any unauthorized uses of your Account or any other breaches of security. Orangedox will not be liable for any acts or omissions by you, including any damages of any kind incurred as a result of such acts or omissions.
Your Responsibilities
You're responsible for your conduct, Your Cloud Stuff that is shared using our Services must comply with our Acceptable Use Policy
We may review your conduct and content for compliance with these Terms and our Acceptable Use Policy. With that said, we have no obligation to do so. We aren't responsible for the content people post and share via the Services.
Finally, our Services are not intended for and may not be used by people under the age of 13. By using our Services, you are representing to us that you're over 13.
Your Obligations
Electronic signature responsibilities
You acknowledge and agrees that: (i) as between Orangedox and You, You have exclusive control and responsibility for the content of all Your Cloud Stuff, including any documents used with the Orangedox Services; and,(ii) certain types of documents, agreements, or contracts may be excluded from general electronic signature laws (such as wills, trusts, court orders, or family law matters), or may have specific regulations that are applicable to them; and, (iii) Your are solely responsible for ensuring that the documents, agreements or contracts you share with the Orangedox Services are appropriate for electronic signatures, and Orangedox is not responsible or liable for any such determination or use; and, (iv) Consumer protection laws or regulations may impose specific requirements for electronic transactions involving consumers, Your are solely responsible for ensuring it complies with all such laws/regulations, and Orangedox has no obligations to make such determination or assist with fulfilling any requirements therein.
Use of Templates and Forms
The Orangedox Services may include sample templates and forms ("Templates"). The Templates are for informational purposes only. We are not attorneys or a law firm, and our Templates are not a substitute for the advice or services of an attorney. You acknowledge that Orangedox is not providing You with legal advice or acting as your attorney or agent, and You assume full responsibility for any outcomes or costs associated with use of our Templates. Orangedox does not claim that documents based on the Templates are complete and suitable for use in all situations and jurisdictions. You should consult with an attorney about yor specific situation before relying on the Templates for any contract, agreement or transaction. You hereby acknowledges that Orangedox is not a party to any agreement that you enter into as a result of the use of any document that you create or uses through the Orangedox Services. Use of the Orangedox Services and any document (including any document based on the Templates) does not constitute an attorney-client relationship, joint venture or partnership between Orangedox and any Customer or third party. Communications between You and Orangedox are governed by these Terms and our Privacy Policy but are not protected by the attorney-client privilege or as work product. Our Stuff
The Services are protected by copyright, trademark, and other Canadian and foreign laws. These Terms don't grant you any right, title or interest in the Services, others' content in the Services, Orangedox trademarks, logos and other brand features. We welcome feedback, but note that we may use comments or suggestions without any obligation to you.
Paid Accounts
Billing. You can enable certain features of the Service by turning your account into a paid account ("Paid Account"). We'll automatically bill you from the date you convert to a Paid Account and on each periodic renewal (monthly or yearly) until cancellation. You're responsible for all applicable taxes, and we'll charge tax when required to do so.
No Refunds. You may cancel your Paid Account at any time but you won't be issued a refund.
Downgrades. Your Paid Account will remain in effect until it's cancelled or terminated under these Terms. If you don't pay for your Paid Account on time, we reserve the right to suspend it.
Changes. We may change the fees for a Paid Account but will give you advance notice of these changes via a message to the email address associated with your account.
Termination
You're free to stop using our Services at any time. We also reserve the right to suspend or end the Services at any time at our discretion and without notice. For example, we may suspend or terminate your use of the Services if you're not complying with these Terms, or use the Services in a manner that would cause us legal liability, disrupt the Services or disrupt others' use of the Services. Except for Paid Accounts, we reserve the right to terminate and delete your account if you haven't accessed our Services for 12 consecutive months. We'll of course provide you with notice via the email address associated with your account before we do so.
Use of the Products and Services by You
Orangedox will use all available, necessary and commercially reasonable means to ensure to the maximum extent possible this Service is provided without flaws or weaknesses. However, you must agree and accept that no computer or information system is absolutely invulnerable. You agree that Orangedox will not be liable to you in any way for any vulnerabilities discovered and will patch them within a reasonable time. Besides, you agree not to exploit vulnerabilities or defects in security procedures and security controls of the Service in order to cause damage to the computer or information system of Orangedox, as well as of other Service users or to obtain an unauthorized access to the information stored in such a system/systems. Any such actions will result in violation of criminal or civil law and constitute a ground for the appropriate legal action.
You agree that should you discover any vulnerability or a defect you will immediately report such vulnerability or defect to contact@orangedox.com and maintain any information regarding discovery of vulnerability or a defect in strict confidence and not disclose it to any third party. Further, you agree:
- not to disrupt or interfere with any other user's interaction with the Service;
- not to share, post, or otherwise transmit through the Service any viruses or other harmful, disruptive, or destructive files;
- not to create a false identity;
- not to use or attempt to use another user's Account without authorization from Orangedox;
- not to disrupt or interfere with the security of, or otherwise cause harm to, system resources, accounts, passwords, servers, or networks connected to or accessible through this Service.
Services "AS IS"
We strive to provide great Services, but there are certain things that we can't guarantee. TO THE FULLEST EXTENT PERMITTED BY LAW, ORANGEDOX AND ITS AFFILIATES, SUPPLIERS AND DISTRIBUTORS MAKE NO WARRANTIES, EITHER EXPRESS OR IMPLIED, ABOUT THE SERVICES. THE SERVICES ARE PROVIDED "AS IS." WE ALSO DISCLAIM ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL ORANGDOX, ITS AFFILIATES, SUPPLIERS OR DISTRIBUTORS BE LIABLE FOR (A) ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, EXEMPLARY OR CONSEQUENTIAL DAMAGES OR ANY LOSS OF USE, DATA, BUSINESS, OR PROFITS, REGARDLESS OF LEGAL THEORY, WHETHER OR NOT ORANGEDOX HAS BEEN WARNED OF THE POSSIBILITY OF SUCH DAMAGES, AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE; (B) AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES MORE THAN THE GREATER OF $20 OR THE AMOUNTS PAID BY YOU TO ORANGEDOX FOR THE PAST 12 MONTHS OF THE SERVICES IN QUESTION.
Resolving Disputes
Let's Try To Sort Things Out First. We want to address your concerns without needing a formal legal case. Before filing a claim against Orangedox, you agree to try to resolve the dispute informally by contacting contact@orangedox.com. We'll try to resolve the dispute informally by contacting you via email. If a dispute is not resolved within 15 days of submission, you or Orangedox may bring a formal proceeding.
Controlling Law
These Terms will be governed by British Columbia of Canada law except for its conflicts of laws principles.
Entire Agreement
These Terms constitute the entire agreement between you and Orangeodx with respect to the subject matter of these Terms, and supersede and replace any other prior or contemporaneous agreements, or terms and conditions applicable to the subject matter of these Terms. These Terms create no third party beneficiary rights.
Waiver, Severability & Assignment
Orangedox's failure to enforce a provision is not a waiver of its right to do so later. If a provision is found unenforceable, the remaining provisions of the Terms will remain in full effect and an enforceable term will be substituted reflecting our intent as closely as possible. You may not assign any of your rights under these Terms, and any such attempt will be void. Orangedox may assign its rights to any of its affiliates or subsidiaries, or to any successor in interest of any business associated with the Services.
Modifications
We may revise these Terms from time to time, and will always post the most current version on our website. If a revision meaningfully reduces your rights, we will notify you (by, for example, sending a message to the email address associated with your account, posting on our blog or on this page). By continuing to use or access the Services after the revisions come into effect, you agree to be bound by the revised Terms.
