How do I add an NDA and send it for signing? - Orangedox Help Post

This guide explains how to set up an NDA in Orangedox and send it for signing/acceptance.

Depending on your workflow, you can either send an NDA directly for acceptance or use it to gate access to a data room or shared file. With gated access recipients will be required to accept the NDA before accessing the data room or shared file.

Open the NDA App

To begin, open the NDA App in your Orangedox dashboard which you can use for

  1. Adding and managing NDAs
  2. Sending NDAs for acceptance
  3. Using NDAs to gate data rooms or shared files
  4. Viewing NDA activity and metricsTo add a new NDA, select Add NDA.

Choose Title & Source File

Every NDA starts with a title and a source document.

  1. Add a Title
  2. Give your NDA a clear, descriptive name so you can easily identify it later in your account and for your recipients.
  3. Select your NDA file
  4. Choose an existing NDA from Google Drive or Dropbox. Supported formats include PDF, Google Docs, and Word documents.

Once selected, click Submit to add the NDA to Orangedox you’ll then be able to

  1. Locate the newly added NDA in the NDA app
  2. Use it to get recipients to accept the NDA or gate your documents / data rooms

Select Delivery Method

After the NDA has been added in Orangedox you can choose how you want to deliver it to your recipients.

  1. Automated Email
  2. Orangedox automatically sends the NDA to recipients email when they are added
  3. Manual Email
  4. You generate a link and email it to your recipients yourself

This is useful depending on whether you want Orangedox to handle delivery or you want to send it out yourself.

Add Recipients

Once your NDA is ready, you can add recipients who need to accept it. You can add recipients by

  1. Enter the recipient’s email address
  2. Click the arrow to add them
  3. Confirm to finalize 

By adding a recipient

  1. Each recipient receives a unique link that they can use to review / accept the NDA
  2. Their activity (views, downloads, signing) is tracked separately

If the NDA is used for gating

  1. The recipient must accept the NDA before accessing the data room or shared file
  2. Once accepted, the recipient will not be required to accept the same NDA again. So an NDA can be used to gate multiple data rooms or shared documents and the recipient will not be required to accept the same NDA multiple times.

How do I gate a Data Room or Shared files with my NDA?

You can require recipients to accept an NDA before accessing a data room or shared file. This is useful when you want to protect confidential documents and ensure legal agreement before access.

To enable NDA gating

  1. Open the Data Room or Shared File
  2. Locate the data room or shared file and select the title to modify the settings of the room / shared document.
  3. Click into the Options menu
  4. Enable the NDA Gating option
  5. Select the NDA you want to apply

Once enabled

  1. Recipients must accept the NDA before gaining access to the room or document
  2. The data room or shared file will display an NDA badge in the app

You can also update the gated NDA at any time, this will 

  1. Require any new recipients to accept the new NDA
  2. Require any existing recipients to accept the new NDA the next time they access the data room or shared document. 

Summary

Once an NDA has been added to Orangedox you can 

  1. Send it directly to your recipients to accept
  2. Gate your data room or shared file with the NDA
