How do I gate my data room or shared files?

This guide explains how to gate your data rooms or shared documents with an NDA, ensuring recipients accept the NDA before accessing.

Choose an NDA you’ll use for gating

1. Open settings the Data Room or Shared File you want to gate by clicking the title
2. Go to the Options menu
3. Enable the NDA Gated toggle
4. Select the NDA you want to use for gatingOnce selected
5. Recipients will be required to accept the NDA before gaining access
6. The NDA must be accepted before any files can be viewed
7. Once enabled the data room or shared file will display an NDA badge beside the title

Updating the NDA

You can update the NDA applied to a data room or shared file at any time.

1. Open settings the Data Room or Shared File you want to gate by clicking the title
2. Go to the Options menu
3. Select the new NDA from the dropdown
4. Save your changes

Note that

1. If you switch to a new NDA, all recipients will be required to accept the new version of the NDA before accessing the data room or shared document, including those who may have already accepted the previous NDA.
2. If you’re re-using a specific NDA to gate multiple data rooms or shared documents keep in mind that recipients only need to accept a specific NDA once. Recipients will still be reminded that access is covered under the previously accepted NDA.
